You didn't mention which version of SQL Server you have, but if it's
7, then this KB article may apply to you:

If the article isn't helpful, then you should post some more
information - your version of SQL Server, which step the package is
failing on etc. You might also want to post to
microsoft.public.sqlserver.dts.
