If I remember correctly, the biggest concern of the board was protecting
the IIUG members personal information,
and IBM had to collect that information for some legal reasons so there
was a conflict of responsibilities.

Stuart and the Board work very hard to keep our member information
private.
Which is in line with the Charter:

Article XII. CODE OF ETHICS

A. IIUG membership information shall be kept confidential and shall be
used only as approved by the Board of Directors of the Organization.
....

Hopefully, that was not a secret, but hell, both sides were in the right
in their own way, and a lot of work
was put into it by IBM, and a lot of thought and fairly heated
discussion by the board.

of Directors", also you description of the process lacks quite some
